Ajman Free Zone, the controlling agent of the Ajman Offshore Companies, was established in 1988 and was granted an
autonomous status under the Emiri Decree No. 3 of 1996 by the Ruler of Ajman, H.H. Sheikh Humaid Bin Rashid Al Nuami. During the last few years, there is an apparent increase in the number of company formation in the free zone, so today Ajman has approximately 256 industrial firms which constitute 20 percent of the total number of industrial units in the UAE and ranks third among all the Emirates. Goods from Ajman are being exported to over 65 countries. Ajman Free Zone Authority has been named as the
sole regulatory agency for Free Zone in the Emirate.
Ajman Free Zone Authority (AFZA) has constituted a new offshore department that is regulated under the Ajman Offshore Companies Regulations of 2014 (regulations that governs international companies), conferred by the Emiri Decree No. 2/2014. Just like any other offshore jurisdictions, it offers a
Zero Taxation System and the company’s confidentiality are kept intact.
Other features include:
- 100% foreign ownership is permitted
- No physical presence of the shareholder/director in UAE required for incorporation
- Minimum capital required
- All shares must be fully paid when allotted, and bearer shares cannot be issued
- There is no requirement to rent an office or an industrial premise. The legal address of the offshore company is the address of the registered agent
- There is no requirement to register with the Chamber of Commerce
- Minimum of one shareholder is required
- Minimum one Directors is required
- Offshore company should have a Secretary who may also be a Director of the company
- Shareholders and/or directors of an Ajman Offshore are not automatically eligible to obtain a UAE residence visa
- An efficient regulatory regime with total exemption on taxes and duty
- Flexibility to open a corporate bank account in UAE
- A registered agent is required to be appointed by the Company from the approved list of registered agents maintained by Ajman Authority
